Payment Terms and Conditions

Pricing and Payment Structure

All pricing is quoted in Bangladeshi Taka (BDT) unless otherwise specified in writing. Payment terms and schedules are determined based on project scope, complexity, and duration as outlined in individual project agreements and proposals.

Accepted Payment Methods

We accept payments through authorized channels including bank transfers, mobile financial services (bKash, Nagad, Rocket), and cash payments at our registered office location. Online payment gateway options may be available for certain services.

Late Payment Policy

Invoice amounts not paid within 30 days of the due date will incur a late payment fee of 2% per month on the outstanding balance. Services may be suspended for accounts with payments overdue by more than 45 days. Legal action may be pursued for accounts with outstanding balances exceeding 90 days past due.

Refund Policy

Refunds are considered on a case-by-case basis depending on project stage and deliverables completed. Advance payments are non-refundable once work has commenced. Refund requests must be submitted in writing with detailed justification.

Intellectual Property Rights

Ownership of Deliverables

Upon full payment of all project fees, you will receive complete ownership rights to all custom-developed websites, applications, designs, and related materials created specifically for your project. This includes source code, design files, and documentation as applicable.

Third-Party Components and Licenses

Projects may incorporate third-party themes, plugins, frameworks, or components that remain subject to their respective licensing terms. Portfolio and Marketing Rights

Okriya reserves the right to display completed projects in our portfolio, case studies, and marketing materials unless specifically restricted by confidentiality agreement. We may reference your company name and project details for promotional purposes while respecting reasonable confidentiality requests.

Okriya Proprietary Rights

Our development methodologies, proprietary code libraries, business processes, and internal tools remain the exclusive property of Okriya. Company branding, trademarks, and intellectual property are protected and may not be used without explicit written permission.

Website Hosting and Technical Services

Domain and Hosting Services

While we provide guidance on domain registration and hosting solutions, you retain full ownership and responsibility for your domain name and hosting account. We can assist with setup, configuration, and DNS management but are not responsible for hosting provider performance, security, or availability.

Website Maintenance and Updates

Post-launch support includes a 30-day warranty period covering bug fixes and minor adjustments related to original functionality. Extended maintenance plans are available separately and include security updates, content updates, and ongoing technical support with defined response times.

Technical Specifications and Compatibility

Websites and applications are developed according to current web standards and tested across major browsers and devices. We ensure responsive design compatibility but cannot guarantee perfect rendering across all possible browser versions, devices, or configurations.

Project Timeline and Delivery

Timeline Estimates and Milestones

Project timelines are estimates based on project scope, complexity, and resource availability. Timelines assume timely client feedback, content provision, and approval at designated milestones. Significant scope changes may require timeline adjustments with mutual agreement.

Client Review and Approval Process

You will have specified review periods (typically 5-7 business days) to provide feedback on deliverables. Failure to respond within the review period will be considered approval to proceed. Final project sign-off is required before considering the project complete.

Force Majeure and Unforeseen Circumstances

Neither party will be liable for delays caused by circumstances beyond reasonable control including natural disasters, government regulations, internet infrastructure failures, pandemics, or other force majeure events.

Service Level Agreements and Support

Response Times and Availability

During regular business hours (Sunday to Thursday, 9:00 AM to 6:00 PM Bangladesh time), we strive to respond to communications within 24 hours. Emergency support may be available for critical issues affecting live websites or applications under active maintenance contracts.

Scope of Technical Support

Technical support covers issues directly related to our delivered work and services. Support does not include training on how to use standard software, third-party plugin support, or modifications beyond the original project scope.

Data Protection and Privacy

Client Data Handling

We handle all client data in accordance with our Privacy Policy and applicable data protection regulations. Client data is used solely for project delivery and service provision purposes. We implement appropriate technical and organizational measures to protect data security.

Data Backup and Recovery

While we maintain backup procedures for active projects, clients are ultimately responsible for maintaining their own data backups and disaster recovery plans. We recommend regular backups of all websites, applications, and associated data.

Confidentiality Obligations

Both parties agree to maintain confidentiality of proprietary information, business strategies, technical specifications, and other sensitive information shared during the course of our business relationship. Confidentiality obligations survive project completion and contract termination.

Limitation of Liability and Disclaimers

Our services are provided on an "as is" and "as available" basis. We make no warranties regarding uninterrupted service availability, error-free operation, or specific results from marketing and SEO services. Results may vary based on numerous factors beyond our control.

Liability Limitations

Our total liability for any claims arising from our services is limited to the total amount paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages including lost profits, data loss, or business interruption.

Client Responsibilities and Assumptions of Risk

Termination and Contract Completion

Project Termination by Client

You may terminate active projects with 30 days written notice. Payment is due for all completed work, incurred expenses, and applicable cancellation fees based on project stage. Completed work may be delivered upon payment of outstanding amounts.

Termination by Okriya

We reserve the right to terminate service agreements for non-payment, breach of terms, inappropriate conduct, or requests for illegal or unethical work. Upon termination, we will provide completed work upon payment of outstanding invoices.

Effect of Termination

Upon termination, both parties' ongoing obligations cease except for payment obligations, confidentiality commitments, and intellectual property rights as defined in this agreement.

Dispute Resolution and Legal Matters

Governing Law and Jurisdiction

This agreement is governed by the laws of Bangladesh. Any legal disputes will be resolved exclusively in the appropriate courts of Bangladesh. Both parties consent to the jurisdiction of Bangladesh courts for all legal proceedings.

Alternative Dispute Resolution

Before pursuing legal action, parties agree to attempt resolution through good faith negotiation. If direct negotiation fails, disputes may be submitted to mediation with a mutually agreed mediator, with costs shared equally between parties.

Severability and Enforceability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions will be modified to the minimum extent necessary to achieve their intended purpose.

SEO and Marketing Results

Search engine optimization and digital marketing results depend on numerous factors including competition, algorithm changes, content quality, and market conditions.
